Hospital & Diagnostic Lab Partner Registration Agreement

Platform: Diagnocity.in
Partner: The hospital, diagnostic centre, pathology laboratory or other healthcare service provider registering on the platform.

By registering on Diagnocity.in, submitting documents, listing medical tests or accepting bookings through the platform, the Partner agrees to the following Terms & Conditions.

1. Purpose of the Platform

Diagnocity.in provides an online platform for listing hospitals, diagnostic centres, laboratories, medical tests, healthcare packages and related services to help customers discover and contact healthcare providers and submit booking requests.

Unless expressly agreed otherwise in writing, Diagnocity.in acts as a platform intermediary and does not itself perform medical tests, provide medical treatment or issue medical reports.

2. Registration and Approval

1. The Partner must provide its correct legal name, registered address, contact details, email address, bank/payment details and other information requested during registration.
2. The Partner must submit valid registration certificates, applicable licences, accreditation details, GST information where applicable and other supporting documents requested by Diagnocity.in.
3. Diagnocity.in may verify submitted information and approve, reject, suspend or remove a listing where there are reasonable grounds relating to incomplete documents, inaccurate information, legal compliance, fraud or customer safety.
4. Registration or listing on Diagnocity.in does not constitute a guarantee of business, bookings, revenue or customer footfall.
5. The Partner must promptly notify Diagnocity.in of any change, suspension, expiry or cancellation of its licences or registrations.

3. Accuracy of Services, Prices and Discounts

1. The Partner is solely responsible for the accuracy and completeness of its listed services, test names, descriptions, prices, discounts, availability, turnaround times and other information.
2. The Partner must not publish misleading prices, fake discounts, false claims or unauthorised medical services.
3. Any change in prices, service availability or applicable terms must be communicated to Diagnocity.in promptly.
4. The Partner must honour confirmed bookings at the agreed price, subject to the disclosed booking terms and any mutually accepted changes.
5. Diagnocity.in may correct, restrict or remove inaccurate, misleading or non-compliant listings.

4. Partner’s Licences and Legal Compliance

1. The Partner shall maintain all licences, registrations, qualifications and permissions required under applicable Indian laws.
2. The Partner shall ensure that medical services are provided by appropriately qualified and authorised professionals.
3. The Partner shall comply with applicable healthcare, laboratory, clinical establishment, biomedical waste, consumer protection, tax and data protection requirements, as applicable to its operations.
4. The Partner shall not use Diagnocity.in to advertise prohibited, unlawful, unlicensed or fraudulent services.
5. The Partner shall promptly disclose any material regulatory action affecting its eligibility to provide the listed services.

5. Booking Management and Customer Service

1. The Partner shall respond to booking enquiries promptly and maintain accurate appointment availability.
2. The Partner shall confirm, reject or reschedule bookings without unreasonable delay and inform the customer of any changes.
3. The Partner shall not falsely mark a booking as completed, manipulate booking records or submit fictitious transactions.
4. The Partner shall provide the services actually booked by the customer, subject to lawful clinical requirements and disclosed conditions.
5. Any preparation instructions, fasting requirements, referral requirements, risks or other relevant conditions must be communicated appropriately.
6. The Partner shall handle customer complaints relating to its services, billing, appointments, test performance and reports in a timely and professional manner.

6. Partner Fees and Commission

The Partner shall select and accept the applicable commercial plan before activation. The accepted plan, commission rate, applicable taxes, payment cycle and any other agreed charges shall form part of this Agreement.

Plan A – Annual Listing Plan

– Annual fee: As displayed and accepted at the time of registration.
– Any introductory discount or promotional fee shall apply only according to the applicable offer.
– Renewal, expiry and cancellation shall be governed by the disclosed subscription terms.

Plan B – Commission-Based Plan

– Commission: The rate expressly accepted by both parties in the registration form or separate commercial agreement.
– Where the agreed rate is 25%, the Partner shall pay Diagnocity.in 25% of the agreed commissionable booking value.
– The commissionable amount, treatment of discounts, cancellations, refunds, taxes and payment deadlines shall be specified in the accepted commercial terms.
– The Partner shall not deliberately bypass Diagnocity.in to avoid an agreed commission on bookings attributable to the platform.
– Commission disputes must be raised with supporting booking and payment records within the agreed dispute period.

No fee or commission shall be changed retrospectively without an applicable prior agreement or lawful basis.

7. Payments, Cancellations and Refunds

1. The Partner shall follow the agreed settlement process and pay all undisputed amounts within the agreed payment period.
2. The Partner must maintain accurate records of bookings, services provided, cancellations, refunds and payments.
3. Refunds and cancellations shall be handled according to the disclosed customer policy, the accepted commercial agreement and applicable law.
4. Diagnocity.in may temporarily withhold disputed amounts where reasonably necessary to investigate suspected fraud, duplicate transactions or booking discrepancies, subject to applicable law and the agreed settlement terms.
5. Neither party may retain amounts that it is legally required to refund or remit.

8. Customer Data and Privacy

1. The Partner shall use customer information obtained through Diagnocity.in only for legitimate booking management, communication, service delivery and related lawful purposes.
2. The Partner shall not sell, disclose, misuse or commercially exploit customer information without a valid legal basis and any consent required by law.
3. The Partner shall implement reasonable security measures to protect customer contact details, booking information, medical records and other personal data.
4. Medical information shall be accessed and processed only to the extent necessary and legally permitted.
5. The Partner shall promptly notify Diagnocity.in of any suspected unauthorised access, data breach or misuse of customer information relating to the platform.
6. Both parties shall comply with applicable Indian data protection and privacy laws, including the Digital Personal Data Protection Act, 2023, to the extent applicable and in force, and its applicable rules.

9. Responsibility for Medical Services and Reports

1. The Partner is solely responsible for the quality, safety and lawful delivery of the medical services it provides.
2. The Partner is responsible for the accuracy, authenticity, timely issuance and authorised validation of its test reports and medical records.
3. Diagnocity.in does not independently guarantee the clinical accuracy of a Partner’s reports or the outcome of medical services.
4. The Partner must address complaints, negligence allegations, service deficiencies and claims arising from its own medical services, subject to applicable law.
5. Nothing in this Agreement excludes or limits any duty or liability that cannot lawfully be excluded or limited.

10. Branding, Intellectual Property and Marketing

1. The Partner grants Diagnocity.in a non-exclusive, royalty-free permission to use its approved name, logo, photographs, service descriptions and other submitted materials for listing, displaying and promoting the Partner on the platform during the partnership.
2. The Partner confirms that it has the necessary rights and permissions to provide these materials.
3. The Partner shall not use the Diagnocity.in name, logo or branding without prior written permission.
4. Neither party shall make false, misleading or unauthorised statements about the other party.
5. Diagnocity.in may make reasonable formatting and presentation changes to listings without changing the substantive meaning of approved information.

11. Platform Rules and Fair Conduct

The Partner shall not:

– Upload false documents or impersonate another healthcare provider.
– Create fake bookings, reviews, enquiries or transactions.
– Mislead customers regarding accreditation, qualifications, prices or medical outcomes.
– Attempt to access, disrupt, reverse engineer or interfere unlawfully with the platform.
– Use the platform for unlawful solicitation, spam, fraud or prohibited advertising.
– Circumvent agreed platform fees or commissions on attributable bookings.
– Engage in conduct that unlawfully harms Diagnocity.in, its customers or other partners.

12. Suspension and Termination

1. Diagnocity.in may suspend a listing or booking facility where reasonably necessary due to suspected fraud, customer safety concerns, licence issues, serious complaints, non-payment of undisputed dues or breach of these Terms.
2. Where appropriate, the Partner shall be given notice and a reasonable opportunity to respond or rectify the breach.
3. Serious fraud, unlawful activity, material patient-safety risks or regulatory requirements may justify immediate suspension or termination.
4. Either party may terminate the partnership by providing the notice period specified in its accepted commercial plan.
5. Termination shall not remove obligations accrued before termination, including outstanding undisputed payments, lawful refund obligations, confidentiality and applicable data protection duties.
6. Removal of a listing does not automatically cancel or excuse valid obligations relating to previously confirmed bookings.

13. Indemnity

To the extent permitted by applicable law, the Partner shall indemnify and hold harmless Diagnocity.in, its owners and authorised representatives against third-party claims, losses, damages and reasonable legal expenses arising directly from the Partner’s breach of this Agreement, unlawful conduct, infringement of third-party rights, inaccurate representations or negligent or wrongful provision of its services.

This clause shall not apply to the extent a claim is caused by Diagnocity.in’s own negligence, wilful misconduct or breach of law, and shall not override any mandatory legal protections.

14. Limitation of Liability

To the extent permitted by applicable law, Diagnocity.in shall not be liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or interruptions caused by events beyond its reasonable control.

Diagnocity.in does not guarantee uninterrupted platform availability, a minimum number of bookings or a particular business result.

Nothing in these Terms excludes liability for fraud, wilful misconduct, gross negligence where applicable, or any liability that cannot legally be excluded or limited.

15. Changes to Terms

Diagnocity.in may update these Terms to reflect changes in its services, business operations or applicable law. Material changes shall be communicated through reasonable notice or the platform, as appropriate.

Changes shall not retrospectively alter an already accrued payment obligation or agreed commercial term without a valid legal basis or agreement.

Continued use after the effective date of a properly notified change shall constitute acceptance only to the extent permitted by applicable law.

16. Confidentiality

Each party shall protect confidential commercial information received from the other party and shall use it only for the partnership. This obligation does not apply to information that is public, independently developed, lawfully received from another source or required to be disclosed by law.

17. Dispute Resolution and Governing Law

1. The parties shall first attempt to resolve disputes through good-faith discussions.
2. If a dispute remains unresolved, the parties may pursue mediation or other lawful dispute-resolution procedures by mutual agreement.
3. This Agreement shall be governed by the laws of India.
4. Courts having competent jurisdiction in Noida, Uttar Pradesh, may hear disputes, subject to applicable law and mandatory jurisdictional requirements.

18. General Provisions

1. The Partner confirms that it has read and understood these Terms and has authority to enter into this Agreement.
2. These Terms, together with the accepted registration details and commercial plan, constitute the agreement between the parties concerning the platform partnership.
3. If any provision is found unenforceable, the remaining provisions shall continue to the extent legally permissible.
4. Neither party may transfer its contractual rights or obligations in a manner prohibited by law or this Agreement.
5. Failure to enforce a provision immediately shall not constitute a permanent waiver of that provision.
6. These Terms do not create a partnership firm, employment relationship, joint venture or agency relationship between the parties.

19. Partner Declaration and Consent

By selecting the acceptance checkbox and submitting the registration form, the Partner confirms that:

– All submitted information and documents are true and accurate to the best of its knowledge.
– It holds the licences and permissions required for its listed services.
– It accepts the applicable commercial plan and its disclosed fees or commission.
– It agrees to comply with these Terms & Conditions and applicable laws.
– It authorises Diagnocity.in to verify submitted business information and display approved listing information.
– It understands that approval and listing do not guarantee bookings or revenue.
